1. As used throughout these terms and conditions, the term “Agreement” shall collectively refer to the Truvida Affiliate Application and Agreement, the Truvida Policies and Procedures, the Truvida Marketing and compensation Plan, Website Online Terms and Conditions, and Privacy Policy. These documents, in their current form and as amended by Truvida at its sole discretion, are incorporated by reference into these terms and conditions, and constitute the entire contract between Truvida and Affiliates. No other representation, promise, or agreement, shall be binding on the parties unless in writing and signed by an authorized officer of Truvida.

2. I agree that as a Truvida Affiliate I am an independent contractor, and not an employee, agent, partner, legal representative, or franchisee of Truvida. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF TRUVIDA FOR FEDERAL OR STATE TAX PURPOSES. Truvida is not responsible for withholding, and shall not withhold or deduct from my bonuses and commissions, if any, FICA, or taxes of any kind, unless such withholding becomes legally required.

3. Only testimonials, claims and statistical information published by the company and found within the Official Truvida Web site may be used by distributors. In order to protect the opportunity for all distributors, any production of materials other than those are not permitted and will result in immediate suspension or termination of an affiliate.

4. I agree to present the Truvida Marketing and Compensation Plan fairly and completely. I shall never represent that the purchase of any goods or services are required to participate at any level of the Truvida program.

5. I understand that Truvida does not guarantee or warrant that Affiliates will earn an income. Under no circumstances shall I represent that a Truvida Affiliate is guaranteed an income. I understand that my income is dependent on the sales of Truvida goods and services to end-users. Accordingly, I shall not represent that commissions or bonuses may be earned by the mere act of enrolling other Affiliates.

6. I may not assign any rights or delegate my duties under this Agreement without the prior written consent of Truvida. Any attempt to transfer or assign this Agreement without the express written consent of Truvida renders this Agreement voidable at the option of Truvida and may result in disciplinary action.

7. The term of this Agreement is one year. In the twelfth month, Affiliates will automatically be offered the opportunity to renew this agreement. I understand that there is no cost for this renewal, but that it must be in place before the anniversary date to be considered valid.

8. Because Truvida may from time to time require correspondence with me, I agree to provide valid contact information, and to ensure that I maintain that information in a timely manner. I agree that if Truvida is unable to contact me through any of the means I have provided, Truvida has the right to terminate this agreement after the expiration of 30 days.

9. Truvida reserves the right to take disciplinary action as specified in the Policies and Procedures against any Affiliate who violates the Agreement, or who engages in any conduct that, in Truvida's sole discretion, damages Truvida's reputation, or which is a violation of any law, regulation, or ordinance.

10. Affiliates may cancel this agreement at any time, and for any reason, upon submission of either a fax or letter clearly indicating their desire to do so.

11. If my Affiliate Agreement is cancelled or terminated at any time for any reason, I understand that I will permanently lose all rights as an Affiliate, including but not limited to rights to bonuses and commissions. I further agree to waive all rights and claims to my prior marketing Organization, including but not limited to any property rights that I may have.

12. I will be truthful in my representation of Truvida products by making no medical, diagnostic, therapeutic, curative or exaggerated financial claims and by clearly stating all terms of sale. I understand any claim of cure or treatment or any prescription is strictly forbidden and may result in disciplinary action.

13. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the balance of the Agreement will remain in full force and effect.
